Last updated: October 31, 2026
These Terms of Service govern use of Monarch’s website and related services.
1. Acceptance of Terms
Welcome to Monarch Workforce Solutions (“Monarch,” “Company,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) establish a legally binding agreement between Monarch and individuals or organizations accessing or using its website, publications, communications, and workforce services (collectively, the “Platform”).
By registering for an account, submitting information, purchasing services, or otherwise accessing or using the Platform, you agree to comply with these Terms.
If you do not agree, you must discontinue use of the Platform.
Monarch may establish supplemental terms for particular services, including hiring engagements, staffing arrangements, and other commercial services.
Where applicable, supplemental terms will be presented before a user purchases or accesses those services.
These Terms do not waive rights that cannot lawfully be waived.
2. Platform Purpose and Independent Content
Monarch connects businesses and professionals through workforce services, including direct hire, contract staffing, and contract to hire.
The Platform may provide service information, hiring inquiries, career information, articles, and related professional resources.
Monarch determines its own content standards and presentation. Commercial relationships do not automatically confer authority over Monarch’s independent articles or analysis.
References to an organization, service, or third-party resource do not by themselves constitute an endorsement, affiliation, partnership, or guarantee.
Sponsored material, where offered, may be distinguished from independent content through appropriate disclosures.
3. Eligibility and Minimum Age
The Platform is intended for individuals who are at least eighteen (18) years old.
By registering for an account or using account-restricted services, users represent that they:
Are at least eighteen years old.
Have the legal capacity to enter into binding agreements.
Will provide accurate registration information.
Will comply with applicable laws and these Terms.
Organizations using the Platform represent that individuals acting on their behalf have the authority to bind the organization to applicable agreements.
Monarch may suspend or terminate accounts that fail to meet these eligibility requirements.
The Platform is not intended for children.
4. Account Registration and Security
Users may be required to create an account to access personalized services or purchase products or services.
Users are responsible for maintaining the confidentiality of their login credentials and promptly reporting suspected unauthorized account activity.
Users agree not to:
Impersonate another individual or organization.
Create accounts using materially false information.
Circumvent account restrictions or security controls.
Access another user’s account without authorization.
Use automated systems to compromise, scrape, or disrupt the Platform.
Submit malicious software or attempt unauthorized access to Monarch’s systems.
Monarch may investigate suspected violations and restrict or terminate accounts when reasonably necessary to protect the Platform, its users, or applicable legal interests.
5. Submitted Information and User Content
Users may submit information and materials that they lawfully possess and are authorized to provide in connection with the Platform’s services.
Users retain ownership of original content they lawfully create and submit.
For content submitted for public publication, users grant Monarch a nonexclusive, worldwide, royalty-free license to host, reproduce, display, distribute, format, moderate, and analyze that content for purposes of operating, promoting, and improving the Platform and its publications.
This license does not transfer ownership of the user’s original content. Private inquiries, applications, resumes, and verification records are not submitted for public publication merely because they are sent through the Platform.
Users represent that their submissions:
Reflect genuine information they are authorized to provide.
Do not knowingly contain materially false statements.
Do not unlawfully disclose confidential or protected information.
Do not infringe third-party intellectual property rights.
Do not contain unlawful threats, harassment, or discriminatory abuse.
Comply with applicable service requirements and law.
Monarch may review, format, restrict, or remove submissions that violate these Terms or applicable law. Monarch is not obligated to publish submitted content.
6. Verification and Confidential Information
Monarch may request information or documentation relevant to a hiring inquiry, professional background, or organizational authority.
Users should provide accurate information and redact unnecessary sensitive information before submitting documentation.
Private submissions are used for the service for which they are provided and related lawful operational or compliance purposes; they are not automatically public content.
Monarch cannot guarantee absolute anonymity or confidentiality in every circumstance. Disclosure may be necessary for authorized service delivery, valid legal process, applicable law, security incidents, or other lawful purposes.
Record retention and deletion are addressed in Section 14.
7. Corrections and Content Questions
Individuals and organizations may request correction of materially inaccurate information published by Monarch.
Requests should identify the material and provide a factual explanation and supporting evidence where available. Monarch may verify the requester’s identity or authority when reasonably necessary.
The existence of a request does not automatically require removal of otherwise lawful content. Monarch may correct or remove material where appropriate under its policies or applicable law.
Monarch retains editorial discretion, subject to applicable legal obligations. Requests may be submitted through the Contact page.
8. Service Information and Availability
Descriptions of workforce services are informational and do not by themselves create an employment relationship, placement commitment, or binding service agreement.
The availability, scope, fees, and responsibilities for a particular engagement are subject to the applicable agreement.
Monarch may update service descriptions and correct materially inaccurate information.
9. Articles and Informational Content
Monarch may publish articles, professional perspectives, research, and other informational content derived from multiple sources.
Monarch does not warrant that every data point is complete, current, or independently verified.
Research and analysis may be affected by sample size, selection bias, reporting limitations, and changing conditions.
Published content is informational and should not replace an independent assessment of a particular decision or professional engagement.
Monarch may revise its analysis and correct inaccuracies.
10. Employment and Third-Party Opportunities
Monarch may present or discuss opportunities in connection with its workforce services.
Unless expressly stated in a separate agreement, website use and inquiry submission do not make Monarch the user’s employer or establish a staffing or placement engagement.
Monarch does not guarantee:
The availability of a particular opportunity.
Employment or contract placement.
Interview invitations or hiring decisions.
A particular compensation level.
The conduct or performance of third-party organizations.
Users are responsible for independently evaluating opportunities and contractual arrangements.
11. Intellectual Property
Monarch name, branding, website design, original publications, hiring materials, proprietary research, software, graphics, and other Company-owned materials are protected by applicable intellectual property laws.
Except where expressly permitted, users may not reproduce, commercially redistribute, resell, or create unauthorized derivative works from protected Monarch materials.
Users receive a limited, revocable, nonexclusive, nontransferable license to access and use the Platform for authorized purposes.
This license does not convey ownership of Monarch’s intellectual property.
Nothing in this section restricts lawful uses permitted by applicable law, including applicable copyright exceptions.
12. Prohibited Conduct
Users may not use the Platform to:
Submit fabricated or materially misleading information.
Threaten, harass, or unlawfully retaliate against others.
Attempt to obtain confidential information through unauthorized means.
Publish unlawful personal information.
Engage in fraud or misrepresentation.
Interfere with Platform security.
Harvest personal information without authorization.
Violate applicable intellectual property laws.
Use Monarch content for unauthorized commercial resale.
Engage in conduct that violates applicable law.
Monarch may investigate violations and take proportionate enforcement measures, including content removal, account restrictions, and referrals to appropriate authorities where warranted.
12.1 Automated Access, AI Training, and Database Replication
Monarch maintains proprietary content, original research, hiring materials, research, analyses, and database compilations.
Except as expressly authorized in writing by Monarch or otherwise permitted by applicable law, users and third parties may not:
(a) Use automated systems, including artificial intelligence agents, bots, crawlers, scrapers, or similar technologies, to systematically extract, harvest, collect, or reproduce content or data from the Platform.
(b) Use Monarch’s proprietary content, research, or database compilations to train, develop, fine-tune, or enhance artificial intelligence systems, machine-learning models, or competing data products.
(c) Systematically copy, reproduce, aggregate, or redistribute Monarch’s proprietary content or database compilations for the purpose of creating, operating, or enhancing a competing service or information product.
(d) Sell, sublicense, redistribute, commercially exploit, or provide unauthorized bulk access to Monarch’s proprietary datasets or original research.
(e) Circumvent technical restrictions, security measures, access controls, or other mechanisms designed to protect the Platform and its information.
Monarch reserves the right to restrict or terminate access, revoke permissions, and pursue remedies available under applicable law in response to unauthorized activities.
Nothing in this section grants Monarch exclusive ownership over publicly available facts, restricts lawful access to independently obtained information, or prohibits activities that cannot legally be restricted.
13. Privacy and Personal Information
Monarch collects and processes personal information in connection with its services and as described in any applicable privacy notice.
Personal information may include account details, inquiries, communications, submitted materials, transaction information, usage information, and other information reasonably necessary to operate the Platform.
Monarch will maintain administrative, technical, and organizational safeguards appropriate to the nature of the information processed.
No electronic storage or transmission system can be guaranteed completely secure.
Monarch will respond to security incidents and provide notifications where required by applicable law.
Questions about personal information and applicable privacy rights may be submitted through the Contact page.
14. Data Retention and Account Deletion
Users may request account deletion, where an account exists, and exercise applicable personal-data rights through the Contact page.
Monarch will evaluate and process requests in accordance with applicable law.
Account deletion may result in the loss of access to associated services.
Certain information may be retained where necessary to comply with legal obligations, preserve records subject to lawful retention requirements, investigate security incidents, or establish, exercise, or defend legal claims, to the extent permitted by law.
A deletion request does not necessarily require deletion of records that must lawfully be retained for service delivery, completed transactions, compliance, security, or legal claims.
Monarch may retain lawfully deidentified or aggregated information that can no longer reasonably identify an individual.
Users will be informed of applicable deletion options and limitations.
15. Marketing Communications
Monarch may send transactional communications necessary for account administration, security, and service delivery.
Optional marketing communications may include newsletters, articles and professional updates, service announcements, and promotional information.
Users may unsubscribe from commercial marketing emails through the unsubscribe mechanism provided in those communications.
Unsubscribing from marketing does not prevent Monarch from sending necessary transactional or security-related communications.
Monarch will comply with applicable electronic marketing laws.
16. Services and Payments
Monarch may offer paid hiring, staffing, or other professional services.
Specific prices, billing periods, renewal terms, cancellation procedures, and refund eligibility will be disclosed before purchase.
Additional commercial agreements may apply.
Payment does not guarantee employment, a particular hire, organizational performance, or business results unless a specific enforceable commitment is expressly included in the applicable agreement.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
Monarch (“Monarch”) makes no guarantee that the Platform will operate without interruption, that every submission will be accurate, or that published information will remain current.
Monarch does not guarantee employment outcomes, compensation levels, organizational performance, or business results.
Nothing in these Terms excludes warranties or protections that cannot lawfully be disclaimed.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Monarch, its owners, officers, employees, representatives, and authorized affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform, except where such limitations are prohibited by law.
Any proposed limitation on aggregate monetary liability must be evaluated against applicable law and the nature of the claim.
Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.
19. Indemnification
To the extent permitted by applicable law, users agree to indemnify, defend, and hold harmless Monarch, its owners, officers, employees, representatives, and authorized affiliates against third-party claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from:
The user’s knowing submission of materially false or misleading information.
Content submitted by the user that unlawfully infringes third-party intellectual property rights.
Unauthorized disclosure of legally protected or confidential information.
Unlawful use of the Platform.
A material breach of these Terms.
This provision does not require users to indemnify Monarch for liability attributable to Monarch’s own conduct where such indemnification is prohibited by applicable law.
A good-faith disagreement regarding lawful use of the Platform does not, by itself, establish an obligation to indemnify Monarch.
20. Governing Law, Mandatory Arbitration, and Exclusive Jurisdiction
20.1 EXCLUSIVE GOVERNING LAW
These Terms of Service and any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Platform, or the relationship between Monarch and any user or organization shall be governed exclusively by the laws of the State of Minnesota, without regard to conflict-of-laws principles that would require application of another jurisdiction’s laws, except where applicable federal law or other nonwaivable law controls.
The Federal Arbitration Act shall govern the interpretation and enforcement of the arbitration provisions to the extent applicable.
20.2 MANDATORY BINDING ARBITRATION
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, use of the Platform, transactions conducted through the Platform, or the relationship between Monarch and a user or organization shall be resolved through final and binding individual arbitration.
The arbitration shall take place exclusively in Hennepin County, Minnesota, unless applicable law requires otherwise or the parties agree in writing to another arrangement.
The arbitration shall be administered by an independent arbitration provider under applicable rules disclosed in the arbitration agreement and consistent with governing law.
The arbitrator shall have authority to award remedies available under applicable law, subject to any enforceable limitations contained in these Terms.
Except where applicable law requires otherwise, the arbitrator’s decision shall be final and binding.
20.3 AGREEMENT TO ARBITRATE THROUGH PLATFORM USE
By accessing or using the Platform after receiving reasonably conspicuous notice of these Terms and manifesting legally sufficient assent, users agree to the mandatory arbitration provisions contained in this Section.
Creating an account, submitting information, or purchasing services may require express acceptance of these Terms.
Continued use of the Platform alone shall constitute acceptance only where such acceptance is legally effective.
20.4 EXCLUSIVE COURT JURISDICTION AND VENUE
To the fullest extent permitted by applicable law, any judicial proceeding permitted under these Terms, including proceedings to compel arbitration, enforce an arbitration agreement, confirm or vacate an arbitration award, or resolve claims not subject to arbitration, shall be commenced and maintained exclusively in:
(a) The state courts located in Hennepin County, Minnesota; or
(b) Where federal subject-matter jurisdiction exists, the United States District Court for the District of Minnesota sitting in Minneapolis, Minnesota.
The parties consent to the personal jurisdiction of these courts to the extent legally effective.
No party may initiate covered judicial proceedings in another jurisdiction unless required by applicable law.
20.5 ATTORNEYS’ FEES AND COSTS
To the fullest extent permitted by applicable law, Monarch shall be entitled to recover its reasonable attorneys’ fees, litigation expenses, arbitration expenses, court costs, and other recoverable expenses when such recovery is authorized by an enforceable contractual provision, applicable statute, arbitration award, or judicial determination.
Where a court of competent jurisdiction determines that a user or organization has materially breached these Terms, engaged in actionable misconduct, or otherwise incurred liability to Monarch, Monarch may seek an award of reasonable attorneys’ fees and costs to the extent permitted by applicable law.
Nothing in this provision eliminates a user’s nonwaivable statutory rights or remedies.
20.6 ADDITIONAL LEGAL AND EQUITABLE REMEDIES
In addition to any recoverable attorneys’ fees and costs, Monarch reserves the right to seek all remedies available under applicable Minnesota and federal law, including, where legally authorized:
Compensatory damages.
Injunctive relief.
Declaratory relief.
Recovery of court costs and litigation expenses.
Statutory damages where applicable.
Enforcement of contractual obligations.
Other legal or equitable relief authorized by law.
No remedy shall be available solely because it is listed in this section if applicable law does not authorize it.
20.7 ARBITRATION PROCEDURES AND LEGAL EXCEPTIONS
The arbitration agreement shall be administered in accordance with applicable law and the rules of the selected arbitration provider.
The parties retain any rights that cannot lawfully be waived, including applicable statutory remedies and rights to seek judicial relief where required by law.
Any allocation of arbitration fees and expenses shall comply with applicable law and the selected provider’s enforceable rules.
20.8 SEVERABILITY OF ARBITRATION PROVISIONS
If any portion of this arbitration agreement is found unenforceable, the remaining provisions shall remain effective to the extent permitted by applicable law.
No provision shall be interpreted to require arbitration of a dispute that applicable law prohibits from being subject to mandatory arbitration.
21. Suspension and Termination
Monarch may suspend or terminate access where reasonably necessary because of:
Material violations of these Terms.
Fraudulent or deceptive activity.
Security threats.
Unlawful conduct.
Abuse of the service or submission systems.
Other legitimate operational or legal reasons.
Monarch may provide notice and an opportunity to respond when appropriate, but immediate action may be necessary to address serious risks.
Termination does not eliminate obligations that, by their nature, survive termination, including applicable intellectual property, indemnification, dispute-resolution, and lawful retention provisions.
22. Changes to Terms
Monarch may revise these Terms to reflect changes in its services, legal requirements, security practices, or business operations.
Material changes will be communicated as required by applicable law.
Where required, Monarch will obtain additional consent before applying materially different terms.
Updated Terms will identify their effective date.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by law.
An unenforceable provision shall not be interpreted to expand Monarch’s rights beyond those permitted by applicable law.
